| The firm of Kivell, Rayment
and Francis is an AV rated firm that was founded by Thomas D. Kivell, a partner in the firm
of Kivell, Hollaway and Stout; Brian J. Rayment, a partner in the firm of Blackstock Joyce
Pollard and Montgomery; and Joe B. Francis, a partner in the New Mexico law firm of Sutin,
Thayer and Browne. The firm has been heavily
involved with national clientele in the area of state-wide foreclosure, bankruptcy,
eviction, replevin and creditor rights law. We are experienced in commercial and general
litigation, including the areas of contracts, commercial law, bankruptcy, products
liability and torts. The firm has been involved in real estate transactions, both
residential and commercial, as well as significant bankruptcy matters. In 1991 the
shareholders were appointed as Special Assistant United States Attorneys for the Northern
District of Oklahoma to represent the Department of Housing and Urban Development on a
statewide basis. The firm is an active member of the USFN - America's Mortgage
Banking Attorneys.

corporate, civil litigation, partnership and estate and business planning practice. We are
experienced in corporate formation, governance and compliance matters. We further have
significant background in federal lending requirements, having represented lenders, buyers
